Terms of Service

These Terms of Service ("Terms") govern your access to and use of Clinbox ("Service"), available at https://clinbox.cc, operated by Federico Szarfer Barenblit ("Operator," "Company," "we," "us," or "our").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Definitions

  • "User," "you," "your" — any individual or entity that accesses or uses the Service.
  • "User Content" — any data, text, files, or other materials you upload, submit, or generate through the Service.
  • "Subscription" — a paid plan providing access to premium features of the Service.
  • "Operator" — Federico Szarfer Barenblit, the data controller and operator of the Service.
  • "Builder" — Nori Labs, Inc. (Venture City), the data processor that builds, hosts, and maintains the Service on the Operator's behalf.

2. Account Registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must notify us immediately at support@venturecity.ai if you suspect unauthorized access.

We authenticate users via email/password or OAuth through third-party identity providers. Session tokens are stored server-side in our database.

Acceptance of these Terms and our Privacy Policy is required to create an account. When you sign up you must tick the "I agree to the Terms of Service and Privacy Policy" checkbox before the sign-up form is enabled. We record the version of each document you accepted and the timestamp of your acceptance; you can review what you accepted from Settings → Legal & your data.

3. Subscriptions & Payments

Paid features are billed on a recurring basis through Stripe, our PCI DSS-compliant payment processor. All payment information (credit card numbers, billing details) is collected and processed exclusively by Stripe. We never store, access, or transmit your card details. We retain only your Stripe customer ID and subscription status.

  • Billing cycle. Subscriptions renew automatically at the end of each billing period unless cancelled.
  • Cancellation. You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period; no prorated refunds are issued for partial periods.
  • Price changes. We will notify you at least 30 days before any price increase. Continued use after the change constitutes acceptance.
  • Failed payments. If payment fails, we may suspend access to paid features until the issue is resolved.

4. Acceptable Use

You agree not to:

  • Violate any applicable law or regulation.
  • Infringe the intellectual property or privacy rights of any third party.
  • Upload malicious code, viruses, or any harmful content.
  • Attempt to gain unauthorized access to the Service, other accounts, or our infrastructure.
  • Use the Service to send spam or unsolicited communications.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Resell, sublicense, or redistribute the Service without prior written consent.
  • Use automated tools (bots, scrapers) to access the Service except via our documented APIs.
  • Interfere with or disrupt the integrity or performance of the Service.

We reserve the right to suspend or terminate accounts that violate these Terms at our sole discretion.

5. Intellectual Property

Our IP

The Service, including its design, code, branding, documentation, and all underlying technology, is and remains the exclusive property of Federico Szarfer Barenblit. These Terms grant you no ownership rights in the Service. The Service was created with the assistance of artificial intelligence and with Nori Labs, Inc. (Venture City) acting as builder and hosting/operations provider; copyright in the Service, its code, design, and content is held by Federico Szarfer Barenblit.

Your Content

You retain all ownership rights to your User Content. By using the Service, you grant us a limited, non-exclusive, worldwide license to host, process, and display your User Content solely as necessary to operate and provide the Service to you. This license terminates when you delete your content or your account.

Feedback

Any suggestions, ideas, or feedback you provide about the Service may be used by us without obligation or compensation to you.

6. Third-Party Services

The Service integrates with third-party services, including but not limited to:

  • Stripe — payment processing
  • PostHog — analytics (opt-in only; see our Privacy Policy)
  • Gmail (Google) — email metadata sync and trash actions (see Section 10 and the Privacy Policy for what Gmail data is accessed)

Your use of third-party services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party service.

Hosting & Sub-processors

This Service is operated by Federico Szarfer Barenblit (the "Operator"). The Operator uses Nori Labs, Inc. (which operates the "Venture City" platform) to build, host, and maintain the Service on the Operator's behalf. With respect to personal data of the Service's end users, the Operator is the data controller and Nori Labs, Inc. acts as a data processor, processing such data only on the Operator's documented instructions.

The Service relies on the following infrastructure providers and sub-processors:

  • Nori Labs, Inc. (Venture City): platform hosting, build, and operational tooling
  • Vercel: application hosting and serverless compute
  • Neon: PostgreSQL database hosting
  • Stripe: payment processing
  • PostHog: product analytics (opt-in)
  • Resend: transactional email delivery

7. Availability & Modifications

The Service is hosted on Vercel (edge/serverless infrastructure) and backed by Neon PostgreSQL. We strive for high availability but do not guarantee uninterrupted or error-free operation.

We may modify, suspend, or discontinue any part of the Service at any time. For material changes that negatively affect paid users, we will provide at least 30 days' notice.

8. Account Termination

  • By you. You may delete your account at any time from Settings → Danger Zone. Upon deletion, we delete your account data, synced email metadata, swipe decisions, AI suggestions, batch execution history, cleanup stats, and consent records (the GDPR right to erasure, made self-service).
  • By us. We may suspend or terminate your account immediately if you breach these Terms, if required by law, or if the Service is discontinued. We will attempt to provide reasonable notice except where prohibited by law or where immediate action is necessary.
  • Effect of termination. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive (including IP, Limitation of Liability, Indemnification, and Dispute Resolution) will survive termination.

9. AI Assistance, Automated Suggestions & Irreversible Actions

9.1 The Service is built and operated with substantial AI assistance.

The Service is built with substantial artificial intelligence assistance and its suggestions are produced by automated, probabilistic systems. AI suggestions are inherently fallible and may be wrong.

9.2 You review and approve every deletion.

The Service proposes email deletions, but no email is ever moved to Gmail Trash without your explicit approval. You alone decide which suggested emails to approve for deletion. Because every trashed email is one you approved, you are solely responsible for which mail is trashed, including any email you approve in error.

9.3 Trash, not permanent deletion.

Approved emails are moved to your Gmail Trash via the Gmail API, not permanently deleted. Google retains trashed email for approximately 30 days, during which you can restore it from inside Gmail. After that window Google permanently removes it per Gmail's own retention rules. To stop all access at any time, revoke Clinbox at https://myaccount.google.com/permissions.

9.4 No warranty on suggestion accuracy.

The Service is provided "AS IS." We make no warranty as to the accuracy, relevance, or correctness of any AI suggestion. The disclaimer of warranties (Section 11) and the limitation of liability (Section 12) expressly cover loss of email caused by suggestions you approved.

9.5 No automated decision-making with legal effect.

The Service does not perform any solely automated decision-making that produces legal effects concerning you or similarly significantly affects you within the meaning of Article 22 of the GDPR. Every deletion requires your explicit, individual approval.

10. Gmail Integration — What We Do

When you connect Gmail, the Service reads only email metadata — sender, subject, snippet, date, and Gmail labels — for the messages we sync. We do not store email message bodies. We use that metadata to learn your own patterns, to surface emails in the swipe deck, and to propose deletions you may approve. When you approve a deletion, we move that message to Gmail Trash via the Gmail API; we never permanently delete email ourselves.

You can revoke Clinbox's access to your Google account at any time at https://myaccount.google.com/permissions, which immediately stops all further access. Our use of Gmail data complies with the Google API Services User Data Policy, including the Limited Use requirements: we use Gmail data only to provide the user-facing Clinbox features, we do not transfer that data to others except as needed to provide those features or as required by law, we do not use it for advertising, and no human reads it. 11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY AI SUGGESTION WILL BE ACCURATE OR APPROPRIATE FOR YOU.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Federico Szarfer Barenblit OR Nori Labs, Inc., OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY. THIS LIMITATION EXPRESSLY COVERS LOSS OF EMAIL RESULTING FROM AI SUGGESTIONS YOU APPROVED.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED EUROS (€100).

13. Indemnification

You agree to indemnify, defend, and hold harmless Federico Szarfer Barenblit and Nori Labs, Inc., and their respective officers, directors, employees, contractors, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, your approval of any AI suggestion, or your violation of these Terms.

14. Dispute Resolution

Governing Law

These Terms are governed by and construed in accordance with the laws of Spain, without regard to its conflict-of-law provisions.

Informal Resolution

Before filing any formal proceeding, you agree to contact us at support@venturecity.ai and attempt to resolve the dispute informally for at least 30 days.

Competent Courts

Except as otherwise required by mandatory EU consumer law, any dispute arising out of or relating to these Terms or the Service shall be brought before the competent courts of Spain. Nothing in these Terms deprives you of the mandatory rights you have as a consumer resident in the European Union or the European Economic Area under the law of your country of residence, including the right to bring proceedings in the courts of your place of residence.

EU consumer rights preserved

If you are a consumer residing in the EU/EEA, you retain the consumer-protection rights that cannot be waived by contract under the law of your country of residence, and you may use the European Commission's Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr/ and the relevant consumer-mediation services in your country.

Exceptions

Either party may seek injunctive or equitable relief in any court of competent jurisdiction for claims involving intellectual property infringement or unauthorized access to the Service.

15. Your GDPR Rights

You have the rights of access, rectification, erasure, restriction, portability, objection, and withdrawal of consent described in our Privacy Policy. You can exercise the most common ones — data export and full account deletion — directly from Settings without contacting us. For any other request, email support@venturecity.ai. You also have the right to lodge a complaint with the Spanish Data Protection Authority (Agencia Española de Protección de Datos, AEPD, https://www.aepd.es) and with your local supervisory authority.

16. General Provisions

  • Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Federico Szarfer Barenblit regarding the Service.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in full effect.
  • Waiver. Failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign our rights and obligations freely (e.g., in connection with a merger or acquisition).
  • Notices. We may send notices via email to the address associated with your account or through the Service interface.

17. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect via email or an in-app notice. Continued use of the Service after the effective date constitutes acceptance. If you disagree, you must stop using the Service and delete your account.
